Terms of Service

Effective date: February 5, 2026

These Terms of Service ("Terms") govern your access to and use of the Calm Signals website, subscription portal, and related services (collectively, the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who We Are

"Karmaniti," "Calm Signals," "we," "us," and "our" refer to Karmaniti LLC, the operator of the Service. The Service provides access to impersonal, model-based strategy signals, historical alert data, and notification settings for subscribed users.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use the Service. By accessing the Service, you represent and warrant that you meet these requirements.

3. Account Registration

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must provide accurate, current, and complete information.
  • You are responsible for all activity that occurs under your account.

4. Subscriptions, Billing, and Renewals

  • The Service is offered on annual subscription terms only.
  • Subscriptions automatically renew at the end of each term unless you cancel renewal.
  • Checkout requires affirmative consent to these auto-renew terms and required service-email delivery terms.
  • You can cancel renewal at any time from Billing Manage. Cancellation applies to the next term.
  • No refunds are provided for current or prior terms.

We offer annual terms because meaningful performance review requires time and market cycles, not overnight results. The Service is designed for disciplined, long-view users.

5. Payments and Authorization

  • You authorize us and our payment processors to charge your selected payment method for fees and taxes.
  • We may use third-party processors; we do not store full payment credentials.
  • Payment verification may be required; access starts immediately and may pause if payment does not clear within 7 business days.
  • You are responsible for all applicable taxes, fees, or bank charges.

6. Chargebacks and Disputes

Initiating a chargeback without first contacting support may result in immediate suspension or termination of access. We reserve the right to dispute chargebacks and provide documentation to payment processors.

7. Important: Risk Disclosure and No Investment Advice

Please read this section carefully. It describes the nature of our Service and important limitations.

7.1 Nature of the Service

  • The Service provides impersonal, model-based strategy signals for informational and educational purposes only.
  • All signals are general in nature and the same for all users. Nothing is personalized to your financial situation, goals, tax situation, or risk tolerance.
  • This is not an offer or solicitation to purchase or sell any securities.

7.2 No Fiduciary Duty

We do not owe you a fiduciary duty. We are not acting as your investment adviser, broker, dealer, or fiduciary. We do not have a duty to act in your best interest. All investment decisions are yours alone.

7.3 No Trade Execution

We do not execute trades on your behalf. We do not manage portfolios, accounts, or assets. You are solely responsible for making your own investment decisions and executing any transactions through your own brokerage account.

7.4 Not a Registered Investment Adviser

Karmaniti LLC is not registered as an investment adviser under the Investment Advisers Act of 1940 or any state securities laws. We do not provide personalized investment advice or recommendations.

7.5 Leveraged and Inverse ETF Risks

⚠️ LEVERAGED/INVERSE ETF RISK DISCLOSURE

The strategies referenced in this Service may involve leveraged and inverse exchange-traded funds (ETFs) such as TQQQ and SQQQ. These are complex financial instruments with significant risks:

  • Daily reset: Leveraged and inverse ETFs are designed to achieve their stated objectives on a daily basis only. Due to daily rebalancing, performance over periods longer than one day can differ significantly—and often negatively—from the underlying index's performance multiplied by the stated leverage factor.
  • Compounding effects: In volatile markets, the effects of compounding can cause leveraged ETFs to lose value even when the underlying index is flat or rises over time.
  • Volatility decay: High volatility can erode returns in leveraged products regardless of the direction of the underlying index.
  • Not suitable for all investors: These products are intended for sophisticated investors who understand the risks, actively monitor their positions, and can afford to lose their entire investment.
  • Losses can exceed principal: You can lose a substantial portion or all of your investment in leveraged and inverse ETFs.

7.6 Backtested Performance Limitations

Performance data shown in the Service may include backtested or hypothetical results. Backtested performance has inherent limitations and does not represent actual trading:

  • Backtested results are prepared with the benefit of hindsight.
  • They do not reflect the impact of brokerage commissions, slippage, market impact, or other trading costs.
  • They may not account for survivorship bias, changes in market liquidity, or execution timing differences.
  • Tax implications are not considered.
  • No representation is made that any account will or is likely to achieve profits or losses similar to those shown.

7.7 Past Performance Disclaimer

Past performance is not indicative of future results. Historical returns, whether actual or backtested, do not guarantee future performance. Markets change, and strategies that worked in the past may not work in the future.

7.8 Your Responsibility

You are solely responsible for evaluating any information, signal, or data provided by the Service. You should consult with a qualified financial advisor, tax professional, and/or attorney before making any investment decisions. Never invest more than you can afford to lose.

7.9 Signal Timing and Order Execution

  • Signals are published as delayed research updates and are not trade execution.
  • Publication policy is shortly after market close on the same trading day (including early-close sessions).
  • Backtested performance uses end-of-day (EOD) prices and does not include commissions, spread, slippage, market impact, taxes, or fees.
  • Backtests assume same-day close execution (T+0). If you execute on the next trading session, your realized results may differ materially.
  • Live publications may differ from backtests because data revisions, market microstructure, and implementation frictions can change outcomes.
  • The Service does not provide broker-order handling instructions, execution timing guidance, or personalized trade recommendations.
  • You remain solely responsible for your own investment decisions and any broker activity.

7.10 Third-Party Data and Delivery

Signal generation depends on third-party market data providers. We cannot guarantee that signals will always reflect the most current data or that delivery will be uninterrupted. Delays, inaccuracies, or omissions in underlying data may affect signal content or timing. We are not liable for losses arising from third-party data issues or signal delivery failures.

7.11 Conflicts and Holdings Disclosure

Karmaniti LLC, its affiliates, and its principals may test multiple strategies and may trade or hold the same securities discussed in the Service (including, without limitation, QQQ, TQQQ, and SQQQ) using firm or personal capital. They may use the same or different strategy rules, position sizing, and execution timing from what is described in the Service. These activities create potential conflicts of interest.

8. Data Accuracy and Availability

Alerts may be delayed, incomplete, or unavailable due to vendor, network, or system issues. We do not guarantee immediate delivery or uninterrupted access. You agree that you use the Service at your own risk.

9. Email Communications and CAN-SPAM Compliance

  • By subscribing, you consent to receive transactional and informational emails related to the Service.
  • Service signal emails are the primary delivery method for subscribed strategies and are sent by default while your subscription is active.
  • You may unsubscribe from service signal emails at any time in Billing Manage. Signals are delivered by email only at this time. Unsubscribing stops email delivery but does not cancel your subscription; access continues until the end of your billing period.
  • Non-essential/promotional emails include an unsubscribe option, and those requests are honored within 10 business days.
  • Emails include our physical mailing address; non-essential/promotional emails include an opt-out method.

10. Multiplatform Access

Your subscription is linked to your account and may be used across web and mobile applications. Features may differ between platforms, and the web portal serves as the primary subscription and settings hub.

11. Acceptable Use

  • Do not copy, scrape, or redistribute alerts or data.
  • Do not attempt to bypass access controls or security measures.
  • Do not use the Service for unlawful or abusive purposes.
  • Do not resell or sublicense the Service.

12. Intellectual Property

All content, data, software, and trademarks related to the Service are owned by or licensed to us. You are granted a limited, non-exclusive, non-transferable license to access the Service for personal use during an active subscription.

13. Third-Party Services

The Service may rely on third-party platforms for hosting, analytics, messaging, or payments. We are not responsible for third-party services or their terms.

14. Termination

We may suspend or terminate your access if you violate these Terms, abuse the Service, or attempt to compromise security. Termination does not entitle you to a refund.

15. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or business opportunities arising from your use of the Service. Our total liability will not exceed the amount you paid to us in the three (3) months before the event giving rise to the claim.

You expressly acknowledge and agree that we shall not be liable for any losses, damages, or claims arising from your investment decisions, including decisions made based on information obtained through the Service.

17. Indemnification

You agree to defend, indemnify, and hold harmless Karmaniti LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your investment decisions.

18. Dispute Resolution and Arbitration

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Subject to the arbitration provision above, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, for any disputes arising from these Terms or the Service.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and provide notice through the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
